Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Linerayl platform operated by LineRayl ("Linerayl," "we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Service Description

Linerayl provides a document processing platform for the freight and logistics industry, focused on bills of lading (BOLs) in the first product cycle. Our service enables you to upload bills of lading, extract a defined set of structured fields using artificial intelligence, flag low-confidence or ambiguous extractions for human review, and export approved data as a structured file (CSV, JSON, or XML) for import into your existing systems.

The service is designed to reduce repetitive manual data entry and assist with BOL capture workflows — not to replace your staff, your transportation management system (TMS), or human judgment. AI-extracted data must be reviewed and explicitly approved by qualified personnel before export or operational use.

2. Account Registration

To use our service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access to your account

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

• Upload documents you do not have the legal right to process
• Use the service for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse-engineer, decompile, or extract the source code of our service
• Interfere with or disrupt the service, servers, or connected networks
• Circumvent any access controls, rate limits, or security measures
• Use automated means (bots, scrapers) to access the service without our written consent
• Transmit malware, viruses, or other harmful code through the platform
• Impersonate another person or misrepresent your affiliation with any entity

4. Document Processing & AI Disclaimer

Our AI-powered extraction service is designed to assist with data entry, not replace human judgment. You acknowledge and agree that:

• AI-extracted data may contain errors or inaccuracies and should be reviewed before use in business operations, regulatory filings, or legal contexts
• We do not guarantee 100% accuracy of any extracted data
• You are solely responsible for verifying the accuracy of extracted data before relying on it
• We are not liable for any losses arising from reliance on unverified AI-extracted data

5. Your Data & Intellectual Property

You retain all ownership rights to the documents you upload and the data contained within them. By uploading documents, you grant us a limited, non-exclusive license to process those documents solely for the purpose of providing the service to you.

We do not:

• Claim ownership of your documents or data
• Use your documents to train AI models
• Share your documents with other users or third parties, except as necessary to provide the service (e.g., AI sub-processors as described in our Privacy Policy)
• Access your documents except as needed for service delivery, support, or legal compliance

Uploaded documents are accessible only to the account that submitted them. Documents and associated extracted data are retained for 24 hours, then automatically deleted from our systems, as described in our Privacy Policy. No extracted data is exported or moved downstream without your explicit human approval through the review workflow.

6. Our Intellectual Property

The Linerayl platform, including its software, design, logos, documentation, and all related intellectual property, is owned by LineRayl and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property beyond the limited right to use the service as described herein.

7. Subscription & Payment

Certain features of our service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected plan as described at the time of purchase
• Provide valid payment information through our payment processor, Stripe
• Authorize recurring charges for subscription plans until you cancel

Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial billing periods, except where required by applicable law.

Price Changes

We may change our subscription prices with at least 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

8. Data Protection

We take data protection seriously. Our data handling practices are described in our Privacy Policy, which forms part of these Terms. We are working toward SOC 2 Type II and ISO 27001 certification to formally validate our security posture.

For customers subject to the GDPR, we will enter into a Data Processing Agreement (DPA) upon request. Contact us at info@forsythautomation.com to request a DPA.

Document retention: uploaded documents and extracted data are stored for 24 hours, then automatically deleted. Account information is handled separately as described in our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the service. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability for any claims arising from or relating to these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, regardless of the theory of liability.
• We are not liable for errors or inaccuracies in AI-extracted data, or for any decisions or actions taken based on such data.

11. Indemnification

You agree to indemnify and hold harmless LineRayl, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the service at any time if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the service ceases immediately. You may request export of approved structured data before account closure while your account remains active. Document uploads and extractions are subject to our 24-hour automatic deletion policy regardless of account status. We will retain account and billing information for up to 30 days after termination to allow for final export or billing reconciliation, after which it will be permanently deleted except where retention is required by law.

13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" above. For significant changes, we will also notify you via email. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and LineRayl regarding the service.
• Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver — Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
